Hilltop Holdings Inc.(HTH) offered to buy the rest of SWS Group Inc.(SWS) that it doesn’t already own, valuing the financial-services company at about $231 million. Hilltop, a regional banking and insurance company, offered $7 a share, a 16% premium over Thursday’s close. SWS surged 19% to $7.20 premarket, topping the off! er price.

SWS Group (SWS) also catches my eye at the current valuation. The Dallas-based company is in the brokerage, investment banking and banking business in the Southwest. They struggled with losses at the banking subsidiary and eventually had to find a capital infusion. They ended up borrowing $100 million from noted investors Gerald Ford and Robert Bass. The core brokerage and investment banking business are well positioned and should do well over the next few years. I wouldn't be shocked if this firm was eventually sold off, with Mr. Ford keeping the banking assets and selling the brokerage and I-Bank units to a larger firm. With the stock trading at just 65% of book value, the long-term potential is very high for this stock.

Susan Walsh/APComcast CEO Brian Roberts at The Cable Show 2013 convention in Washington. Comcast offered to sell 1.4 million pay TV subscribers to Charter Communications for $7.3 billion as part of a transaction aimed at winning regulatory approval for its proposed $45 billion takeover of Time Warner Cable. Comcast (CMCSA) also said it would divest another 2.5 million subscribers into a new publicly traded company, dubbed SpinCo for now, to be one-third owned by Charter (CHTR) and two-thirds by Comcast shareholders. The deal would make Charter -- whose own bid for Time Warner Cable (TWC) was thwarted by Comcast's higher offer -- the second-biggest U.S. pay TV company with 5.7 million customers, overtaking Cox Communications. Charter's shares rose as much as 10 percent to $142.70 in early trading Monday. Comcast shares were up 1.4 percent at $51.70. Comcast would have less than 30 percent of the U.S. residential cable or satellite TV market after the deal, the company said in a statement. The agreement is contingent on Comcast's Time Warner Cable deal being approved by the Justice Department and the U.S. Federal Communications Commission, a process that could take many months. Analysts said the deal was a pre-emptive move by Comcast ahead of a review of the deal by regulators. "Comcast wanted to do this deal now with Charter so it could get in front of regulators at the Justice Department and the FCC at the same time as the Time Warner Cable deal," a source familiar with the matter said. The source said there was a standstill agreement with Charter stipulating that it can't gain full control of SpinCo for four years. Comcast will have no ownership in SpinCo. SpinCo would have an estimated enterprise value of $14.3 billion and an equity value of $5.8 billion, Charter and Comcast said in an investor presentation. The divestments, mostly in the U.S. Midwest, wou! ld delive! r about $19.5 billion in value to Comcast shareholders, the companies said. "For

Best High Dividend Companies To Own For 2015

I personally love companies with strong growth and low debt ratios. In my blog I've also often published hundreds of stock ideas, and some of them performed very well.

The market is full of high dividend payers with big long-term debt portfolios. Below are eight large cap dividend stocks with very low debt-to-equity ratios.

I've focused my thoughts on stocks with a yield over 2 percent, but you must consider the full amount of cash which the company owns. The higher the cash per share, the better the premium you can pay but in the end, it's the operational business that drives the stock up or down.

Only a good growing company with better developing business perspectives can lift up your asset. I know that it is hard to look into the future, and nobody has the ability to do this, but with a small piece of unclouded thoughts, your investment should become a clear target or trash.

8 solid dividend stocks with very low debt in order to avoid dividend cuts in the future are...

ICF International (ICFI) trades at an attractive multiple due to concerns that lower government spending (~three quarters of its business) will negatively affect results. However recent contract wins and an expected strong 2H mitigate these concerns. Moreover, a successful acquisition strategy reduced its dependence on government spending and resulted in significant EBITDA growth, high free cash flow and an almost 50% debt reduction.

Advisors' Opinion:

On that theory, hard-hit energy stocks that have suffered from the crash in oil prices could stand to benefit. Continental Resources (NYSE: CLR  ) , for instance, lost more than half its value in the last four months of 2014 as the exploration and production company with a huge stake in the Bakken shale play in North Dakota suffered from worries about the sustainability of its long-term growth in light of falling oil. Similarly, many small-cap gold and silver miners struggled through a poor 2014, and so companies like First Majestic Silver (NYSE: AG  ) and IAMGOLD (NYSE: IAG  ) arguably have more to gain from a January bounce.

Hot Information Technology Stocks For 2015

LAGOS, Nigeria (AP) Nigeria's recalculated economy is worth $510 billion, by far the biggest in Africa, officials announced Sunday using long overdue revised data that gives the West African nation continental bragging rights but does little for the 70% of its citizens living in poverty.

The new value of Nigeria's GDP adds previously uncounted industries like telecommunications, information technology, music, airlines, burgeoning online retail outlets and Nollywood film production that didn't exist when the last GDP count was made in 1990. Then, there were 300,000 landlines. Today, Nigeria has 100 million cell phone users.

The new figures also will take account of growth in agriculture and tourism that have flourished since democracy was restored in 1999, ending decades of military dictatorship.

Advisors' Opinion:
  • [By Roberto Pedone]

Vical (VICL) engages in the research and development of biopharmaceutical products based on its DNA delivery technologies for the prevention and treatment of serious or life-threatening diseases. This stock closed up 5.8% to $1.62 in Tuesday's trading session.

    Tuesday's Range: $1.53-$1.63

    52-Week Range: $1.37-$4.74

    Tuesday's Volume: 7.28 million

    Three-Month Average Volume: 1.53 million

From a technical perspective, VICL bounced higher here right above its recent 52-week low at $1.37 with monster upside volume. This stock recently gapped down big from $3.75 to $1.37 with huge downside volume. That move has now pushed shares of VICL into extremely oversold territory, since its current relative strength index reading is 21.80. Oversold can always get more oversold, but it's also an area where a stock can experience a powerful bounce higher from.

Traders should now look for long-biased trades in VICL as long as it's trending above its 52-week low at $1.37 and then once it sustains a move or close above Tuesday's high of $1.63 with volume that hits near or above 1.53 million shares. If we get that move soon, then VICL will set up to re-fill some of its previous gap down zone that started at $3.75. Some possible upside targets if VICL gets into that gap with volume are $2.25 to $2.50.

Hot Transportation Companies To Watch For 2015

The surge of natural gas production in the U.S. has opened several doors that many didn't think were previously economically feasible: Manufacturers are reconsidering a move back to the U.S. for cheap energy prices, using natural gas as a transportation fuel is not a joke, and we're even debating the merits of exporting natural gas.

One thing is certain: Our ability to extract shale gas has given the U.S. a competitive advantage that could potentially hold for a decade. According to panelists at the 2013 Energy Forward conference at the University of Chicago's Booth School of Business, only China has a shot at effectively producing from shale gas in the next 10 to 15 years. Let's look at how the U.S. will keep that position for that long and one policy that will prevent others from doing the same.

1. Risk for new projects is lower
The ability to effectively tap shale resources is the culmination of two drilling techniques almost 100 years in the making, starting with the test of the first horizontally drilled well in Texas back in 1929. When horizontally drilled wells are combined with hydraulic fracturing -- a well completion technique pioneered by Mitchell Energy (now part of Devon Energy (NYSE: DVN  ) ) back in the mid '90s -- we are able to effectively drill into a tight gas formation, break the shale, and extract the gas.

In all, these trends paint a highly bullish picture for the future of natural gas demand. Over the next five to seven years, we may see up to 20 billion cubic feet per day of incremental demand, according to Enterprise Products Partners (NYSE: EPD  ) , a leading midstream firm. As I have argued before, I believe that there's a good chance that gas demand could outpace supply in the future, which suggests to me that natural gas prices are likely to move much higher over the next three to five years.

Another area that is intriguing to us is the North American energy sector which looks to have a number of interesting catalysts currently. While the energy sector is at present only a modest overweight in the portfolios, we have been encouraged by several trends taking place for a number of years. These positive developments are also having an impact that goes far beyond the energy sector itself. Many believe that the U.S. will become energy independent and possibly a net exporter of natural gas and oil (currently restricted by law) in the next decade. This opinion is based primarily on the development of new drilling techniques (i.e. horizontal drilling, and high pressure fracking) that have enabled companies to access oil and natural gas reserves in shale formations that were previously not economically viable. The ability to tap into this acreage is a game-changer in our view and is already having a tremendous impact on the economy. Employment rates in these mostly rural areas surrounding the shale basins are very high and companies thus find hiring extremely competitive. Strong labor markets tend to create strong local economies. Oil States International (OIS) has been able to capitalize on this trend by providing housing and other services to oil service workers that are in demand in the area. CST Brands (CST) operates gas stations in Texas, but it is increasingly looking to broaden its product offering beyond fuel. Rail companies like Union Pacific (UNP), Canadian Pacific (CP), Kansas City Southern (KSU) and Genesee and Wyoming (GWR) have also benefited substantially. Given that shale areas are rural and often lacking infrastructure, substantial investment must be made to support drilling and production activities. Without pipelines in place, railroads have been the primary takeaway mechanism for moving production to the various clusters of refining capacity around the United States. In order to serve this demand, massive investment in railcars has been nee

Thinks aren't looking quite so auspicious for shares of small-cap Greek shipping stock Costamare (CMRE). Greek equities enjoyed some buoyancy this year, the result of getting oversold due to headline risk during the economic crisis in the Eurozone. But this stock's down days don't look behind it yet.

That's because Costamare is currently forming the bearish opposite of the bullish pattern in NTT: a descending triangle. CMRE's setup is formed by downtrending resistance above shares and horizontal support down at $16.75 that shares are getting pushed down into. A move through $16.75 is the signal to sell this stock.

Whenever you're looking at any technical price pattern, it's critical to think in terms of buyers and sellers. Triangles, rectangles, and other price pattern names are a good quick way to explain what's going on in this stock, but they're not the reason it's tradable. Instead, it all comes down to supply and demand for shares.

That support line at $16.75 is a price where there's an excess of demand of shares; in other words, it's a place where buyers have been more eager to jump in and buy at lower levels than sellers have been to unload them. That's what makes the move below it so significant -- a breakdown indicates that sellers are finally strong enough to absorb all of the excess demand below that price level. Wait for that signal to happen before you bet against CMRE.
